Welcome to Kuberha, operated by Hyper Grocers Private Limited ("Kuberha", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of the Kuberha mobile application ("App") and the associated services provided by us (collectively, the "Services").

By downloading, accessing, or using our App, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Eligibility

You must be at least 18 years of age or have the authority to enter into agreements on behalf of a business entity to use the Kuberha App and Services. By using Kuberha, you represent and warrant that you meet these eligibility requirements.

2. Description of Services

Kuberha provides AI-powered ERP, billing, inventory management, reporting, and sales & purchase automation tools for kirana stores and small retail businesses. The Services are provided via our mobile application and are intended solely for business use.

3. User Account

You may be required to register an account to access the Services. You agree to:
• Provide accurate and current information
• Keep your login credentials secure
• Be responsible for all activities under your account

We reserve the right to suspend or terminate any account that we reasonably suspect is in violation of these Terms.

4. User Responsibilities

You agree to:
• Use the Services only for lawful and legitimate business purposes
• Not misuse, reverse engineer, copy, modify, or distribute any part of the App or Services
• Maintain accurate records and comply with all applicable legal, tax, and regulatory obligations

Kuberha is not responsible for your compliance with local business, taxation, or regulatory laws.

5. Intellectual Property

All content, including software, logos, trademarks, text, graphics, and design elements within Kuberha, are the intellectual property of Hyper Grocers Private Limited.

You are granted a limited, non-exclusive, non-transferable license to use the App for business purposes only. Any unauthorized use, copying, or redistribution is strictly prohibited.

6. Data Privacy

Your use of the Services is also governed by our Privacy Policy (available in the App). By using Kuberha, you consent to the collection, use, and sharing of information as described in the Privacy Policy.

7. Payment Terms

If your use of Kuberha requires payment, you agree to pay all applicable fees as per the pricing plan communicated to you. Payments will be processed securely through authorized third-party providers. You are responsible for maintaining sufficient funds and valid payment methods.

8. Disclaimers

Kuberha is provided on an "as is" and "as available" basis. We do not guarantee that:
• The Services will be uninterrupted, timely, secure, or error-free
• Any defects will be corrected
• Data accuracy and completeness are absolute

You use the Services at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Kuberha, its directors, employees, and affiliates will not be liable for:
• Any indirect, incidental, punitive, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities arising from your use of the Services

Our total liability under these Terms shall not exceed the amount paid by you (if any) for the Services in the last 12 months

10. Indemnification

You agree to indemnify, defend, and hold harmless Kuberha and its affiliates from any claims, damages, losses, liabilities, costs, or expenses arising out of:
• Your breach of these Terms
• Your misuse of the App or Services
• Any violation of law or rights of a third party

11. Termination

We may suspend or terminate your access to the Services at our discretion for:
• Violating these Terms
• Fraudulent, abusive, or unlawful activity
• Regulatory or legal requirements

You may also terminate your account at any time by discontinuing use of the App.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. You agree that any legal action or proceeding relating to your use of Kuberha shall be subject to the exclusive jurisdiction of courts in Haryana, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. You will be notified of changes via the App or email. Continued use of the App after changes constitutes your acceptance of the revised Terms.

14. Credits and Billing Policy

As part of our onboarding program, new Kuberha users will receive a one-time free trial of 500,000 platform credits.

Credit System Notice :
- Credits are solely a usage measurement unit within the Kuberha application.
- They do not represent a financial value inside or outside the Kuberha platform.
- Credits cannot be redeemed for cash or any monetary value outside the platform and can only be used to access features and services within Kuberha.
Excess Usage :
- If your usage exceeds the available free or paid credits, the excess amount will be automatically deducted from your next recharge balance.
- Users are responsible for monitoring their credit balance.
- Kuberha reserves the right to suspend services if payment for excess usage is not completed immediately or during the next recharge.

Paid Credits :
- Any purchased credits are valid for 30 calendar days from the date of purchase.
- Paid credits can be carried forward only if a recharge is made within 30 calendar days of expiry of the prior credit balance.
- Unused paid credits will automatically expire after the 30-day period if no recharge is made.
- Credits cannot be transferred, refunded, or exchanged for cash.
Free Credit Validity :
- The free credits are valid for 30 calendar days from the date of account activation.
- Any unused free credits will automatically expire after 30 days or upon full consumption of the credits, whichever occurs earlier.
- Free credits cannot be reissued or carried forward.

15 Refer and Earn

Eligibility: The Refer and Earn program is open to all registered Kuberha retailers with an active subscription plan.
Referral Credits: When an existing retailer (“Referrer”) refers another retailer (“Referee”) who successfully activates a paid Kuberha plan, the Referrer is rewarded with 5,000 bonus credits.
Credit Validity:
- Referral credits will be credited to the Referrer’s account upon successful verification of the Referee’s paid activation.
- These credits are valid only within the remaining duration of the Referrer’s current subscription plan.
- No additional validity is granted for referral credits.
- If a referral is made on the last day of the Referrer’s active plan, the 5,000 credits will still be awarded but will expire the same day, along with the plan.
Credit Rollover Policy :
- If the Referrer successfully recharges or renews their subscription on or before the expiry date, all unused referral credits will be rolled over and added to the new plan.
- If the Referrer fails to recharge before expiry, they will still be eligible for a grace period of 5 days from the expiry date.
- If a successful recharge is completed within this 5-day window, any unused referral credits will be reinstated and rolled over to the new plan.
- If the Referrer does not recharge within 5 days after expiry, any unused referral credits will automatically expire and will not be reinstated under any circumstances.
Non-Transferability: Referral credits are non-transferable, non-refundable, and cannot be redeemed for cash or other monetary benefits.
Misuse & Fraudulent Activity: Kuberha reserves the right to revoke referral credits, suspend accounts, or disqualify users from the program in the event of:
- Fake or self-referrals
- Misuse of the referral system
- Violation of platform policies
Program Modifications: Kuberha may modify, suspend, or terminate the Refer and Earn program at its sole discretion, without prior notice.
